Purpose of the CSPRTL

 

Consejo Shores Parks & Roads Trust Limited (CSPRTL) is a non-profit organization established in 2010.  CSPRTL was established to lease, control, maintain and preserve parks and roads within the Relevant Developed Area (RDA) of the Consejo Shores community using funds collected from property owners via Annual Fees and Road Heavy Use Fees.  


Lease Agreement with Consejo Shores Ltd. (CSL) 

 

CSPRTL and Consejo Shores Limited (CSL) have a legally binding lease agreement which outlines the responsibilities of each party.  The lease agreement is in effect for 99 years and automatically renews for additional 99 year terms.  It is designed to permanently resolve Parks and Roads related issues.  The lease agreement contemplates most future changes including eventual total withdrawal of CSL from the community. 

 

Among other lease agreement requirements, CSPRTL has the responsibility to pay annual property taxes for the privately owned parks and roads land titles.


 

Board of Directors 

 

  • CSPRTL has no employees, but rather an elected Board of Directors comprised solely of volunteers. 

  • CSPRTL Board of Directors is required to maintain a Chairman, Secretary, and Treasurer and can have other titled Directors as needed, up to a maximum of 7 Directors.

  • CSPRTL Board of Directors is committed to listening and following up with members feedback, and taking appropriate action as needed.

 

CSPRTL: a Non-Profit Belize Corporation 

 

CSPRTL is registered as a non-profit Belize Corporation for several reasons: 

 

  • To ensure fair treatment of all Members including those who cannot attend meetings. Those Members present at a particular meeting cannot pass resolutions without advising all Members and allowing eligible Members to vote. 

  • For the protection of Directors and Members against personal liability. 

  • To maintain a legal entity able to sign contracts when needed. 

  • To provide a stable structure which can be kept permanently in existence with minimal effort to accept long term responsibility. 

  • CSPRTL must operate in accordance with the Corporations Act – Belize (and other Belize laws) and its own Memorandum and Articles of Associations (what would be called bylaws in the USA or Canada).  Here are some key points: 

    • As a non-profit corporation, CSPRTL Members (Members in which all contributions payable in regards to properties owned have been paid) are entitled to participate and may vote on resolutions. 

    • Most ongoing, daily, weekly decisions are made by the Board of Directors and don’t require Member approval. 

    • Directors govern collectively. No individual Director has any power to speak or act on behalf of CSPRTL unless it is granted by the Directors collectively. 

    • The Annual General Meeting (AGM) is typically held in February which allows the maximum number of Members to attend. CSPRTL presents annual plans, proposed budget, and other current topics at the AGM. 

    • The AGM includes an agenda and a question and discussion period, as well as other meeting elements. The agenda is sent in advance by email to Members.
